These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", or "Freelancer/Provider") and ProX DigitalServices Pvt Ltd ("Pro X", "we", "our", or "us"). By creating an account, browsing, or using our marketplace platform at https://prox.co.in, you acknowledge and agree to be bound by these Terms.
Please read these terms carefully before engaging in transactions or services on Pro X. If you do not agree with any part of these Terms, you must immediately refrain from accessing or using the platform.
1. Platform Eligibility & Accounts
- Age Requirement: You must be at least 18 years of age and legally capable of entering into binding contracts under Indian law.
- Account Accuracy: You agree to provide true, accurate, and up-to-date registration details. You may register using your email credentials or Google Sign-In.
- Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.
- KYC & Verification: Service providers must undergo identity and document verification before receiving bookings or payouts. Misrepresentation may result in immediate suspension.
2. The Pro X Marketplace Model
Pro X provides a curated technology platform that connects independent freelance professionals ("Providers") with clients seeking digital, creative, technical, and professional services ("Clients"). Pro X is not an employer, partner, or joint venturer of any provider. Providers operate as independent contractors.
3. Escrow, Fees & Payments
- Escrow Protection: To protect both parties, project funds are held securely in escrow upon milestone order placement. Funds are released to the provider only when milestone deliverables are submitted and approved by the client, or upon resolution of any disputes.
- Service Fees: Pro X charges transparent platform fees as published at the time of booking to maintain platform security, hosting, escrow handling, and 24/7 dispute mediation.
- Taxes: All payments are subject to applicable GST and Tax Deducted at Source (TDS) under the Indian Income Tax Act where mandated.
- Off-Platform Circumvention: Users agree not to solicit or accept payments outside of Pro X for contacts established on the platform. Circumvention undermines escrow security and violates our terms.
4. Intellectual Property Rights
- Deliverables: Unless explicitly agreed otherwise in writing between Client and Provider, full intellectual property rights in final, paid deliverables transfer to the Client upon complete payment release.
- Pre-Existing Materials: Providers retain ownership of their pre-existing proprietary tools, libraries, or background IP embedded in deliverables, granting the client a perpetual, non-exclusive license to use them.
- Pro X Platform IP: All trademarks, logos, interface designs, code, and brand elements of Pro X remain the exclusive property of ProX DigitalServices Pvt Ltd.
5. User Conduct & Prohibited Activities
You agree not to:
- Post false, deceptive, defamatory, or unlawful job listings or profiles.
- Harass, threaten, or discriminate against other users.
- Distribute viruses, malware, or engage in automated scraping without authorization.
- Violate any applicable laws, including intellectual property and cyber security regulations.
6. Cancellations, Refunds & Dispute Mediation
In the event of an unfulfilled milestone, missed deadline, or deliverable mismatch:
- Clients and Providers are encouraged to resolve disputes directly via the ProX built-in workspace chat.
- Either party may escalate a disputed project to Pro X Support for impartial mediation and evidence review.
- Pro X reserves the right to issue escrow refunds or releases based on the evidence, milestone terms, and communication audit trail.
7. Limitation of Liability & Disclaimers
The platform is provided on an "as is" and "as available" basis. Pro X disclaims all warranties of any kind, whether express or implied. In no event shall Pro X be liable for indirect, punitive, incidental, or consequential damages resulting from platform use or service engagements between users.
8. Termination
We reserve the right to suspend or terminate accounts that violate these Terms, breach security protocols, or engage in fraudulent activity, with or without prior notice.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
